The transaction stands out not only for its size, but for what it says about the pressure facing traditional food distribution models in a slower demand environment.

The market reaction was immediate and severe. Sysco shares fell as much as 14.8% after the company said it would finance the deal with $21 billion in new and hybrid debt, alongside $1 billion in cash and equity. That response reflects investor concern over leverage and execution risk, even as management argues the acquisition will strengthen the company’s long term position and provide a path into a more resilient, higher margin segment.

The deal also arrives amid broader consolidation across consumer facing industries, as companies pursue scale to manage higher costs and uneven demand. In that context, Sysco is not simply buying growth. It is repositioning itself around a part of the food supply chain that has proven more defensive during downturns and more attractive to cost conscious customers.

A strategic shift toward cash and carry

Restaurant Depot operates a wholesale cash and carry model, allowing customers to pay upfront for products such as food, beverages, and takeout supplies. That format differs from Sysco’s core delivery business, which serves restaurants, hospitals, and hotels through a more traditional distribution network. By acquiring Jetro Restaurant Depot, Sysco would gain a major foothold in a business model that complements its existing operations rather than simply duplicating them.

That distinction is central to the rationale behind the transaction. Restaurant Depot has about 166 warehouse locations across 35 states, giving Sysco access to a broad physical footprint in a segment that management views as both profitable and durable. Sysco Chief Executive Kevin Hourican said the business is highly resilient in recessions, arguing that cash and carry operators tend to gain share when economic conditions worsen because price sensitive customers gravitate toward lower cost options.

The strategic appeal is clear. Independent restaurants often need flexibility, lower prices, and direct access to inventory without relying exclusively on scheduled deliveries. Sysco’s move suggests it sees the future of food distribution as more mixed and more channel diverse than in the past, especially as operators across the hospitality sector remain sensitive to inflation and tighter customer spending.

Financing concerns drive the market selloff

Despite the industrial logic of the deal, investors focused first on the balance sheet. Sysco said the acquisition would be funded with $21 billion in new and hybrid debt, plus $1 billion in cash and equity. Restaurant Depot shareholders would receive $21.6 billion in cash and 91.5 million Sysco shares, worth roughly $7.5 billion based on Friday’s closing price, leaving them with about a 16% stake in the combined company.

That structure helps explain why the stock came under pressure. A debt heavy financing package of that size raises questions about how much flexibility Sysco will retain if economic conditions weaken or integration costs rise. The company also said it is pausing its share repurchase program, a sign that preserving capital will take priority as it works to absorb the acquisition.

Still, management is trying to balance those concerns with a message of earnings growth. Sysco expects the acquisition to increase earnings per share by a mid to high single digit percentage in the first year after closing, which it anticipates by the third quarter of fiscal 2027. It also reaffirmed its annual forecasts, signaling confidence that the transaction will not derail its broader operating outlook.

Antitrust questions return to the spotlight

The proposed acquisition is also likely to draw attention from regulators, given Sysco’s dominant role in food distribution and the industry’s antitrust history. In 2015, a federal judge blocked Sysco’s $3.5 billion attempt to acquire US Foods after the Federal Trade Commission argued that the combination would give the company too much power over deliveries to major customers.

This time, Sysco is making the case that the competitive overlap is far more limited. Hourican has said Restaurant Depot serves a different channel with a different primary customer base, which should help the deal stand apart from previous transactions that combined direct rivals. The company is presenting the acquisition as a complementary expansion rather than an effort to tighten control over a single market segment.

That argument may prove important because regulators have already shown a willingness to challenge large transactions in the sector. Last year, US Foods ended merger talks with Performance Food, a combination that would have tied together the second and third largest players in food service distribution. Any review of the Restaurant Depot deal will likely examine whether Sysco’s scale, supplier relationships, and new access to independent restaurant buyers could alter pricing power across the industry.

A succession story with broader industry meaning

The timing of the sale also reflects the changing ownership landscape in private businesses. According to Sysco, the two companies have discussed a transaction for years, and succession played a role in the Kirsh family’s decision to sell. Founder Nathan Kirsh is in his 90s, and his children do not run the business, making Sysco an exit option that could preserve and extend the company’s operating model rather than dismantle it.

That family transition adds another dimension to what is already one of the largest deals in the sector. It suggests that the transaction is not only about financial engineering or short term market opportunity, but also about who is best positioned to carry a business into its next phase. Sysco is effectively betting that Restaurant Depot’s format, customer base, and value positioning can strengthen the group as restaurant operators grow more cost conscious and economic conditions remain uncertain.

For a company known for supplying chains such as KFC and Subway, the acquisition is a major signal that traditional scale alone is no longer enough. Sysco is moving to capture a segment built around immediacy, price discipline, and resilience. Whether investors ultimately reward that strategy will depend on how well the company manages debt, secures regulatory approval, and proves that this expansion can deliver the earnings growth management is promising.

Sysco has announced a $29 billion acquisition of Jetro Restaurant Depot, a move that would significantly broaden the reach of the largest U.S. food distributor and deepen its exposure to independent restaurants looking for lower prices and flexible purchasing.
